Applications / Intended Use

The panels manufactured by ARSUS PAPER S.L. are intended exclusively for use in professional environments. Their intended use is limited to temporary or ephemeral decorations, sets and scenic environments.

They are not designed for permanent installations or for use in places open to the public. They may not be used as flooring or as a walkable surface. Any use other than the intended use shall be undertaken under the sole responsibility of the customer.

Unless expressly agreed in writing, ARSUS PAPER S.L. does not provide installation, assembly or product adaptation services.

Panel Finish

Due to the partly manual and artisanal nature of the manufacturing process, minor imperfections may occur and may be more noticeable in new, uniform or clean-looking designs: slightly misaligned images, small bubbles or wrinkles, scuffs caused by handling or transport, fine print lines or other similar variations. These characteristics form part of the normal manufacturing process and shall not be considered defects when they do not materially affect the final appearance of the product.

  • In the event of highly visible damage, ARSUS PAPER S.L. will replace the affected area with a replacement section, where technically possible.
  • Some cuts may require adjustment or the application of filler or paint to the joints during installation.
  • There may be slight variations in colour or gloss between panels. Identical reproduction of the same colour across different print runs is not guaranteed.
  • ARSUS PAPER S.L. applies the varnish manually, so areas with differences in gloss may appear and must be touched up by the customer during installation.
Intellectual Property and Use of Images

The templates, reliefs, moulds, technical files, designs, manufacturing processes and all other materials developed by ARSUS PAPER S.L., or in respect of which it holds the corresponding rights, are the exclusive property of ARSUS PAPER S.L.

The delivery or making available of any such materials to the customer does not transfer ownership or any right to reproduce, modify, exploit, disclose them to third parties or use them to manufacture products either directly or through other companies. The customer may use them solely to prepare the designs for the order to be manufactured by ARSUS PAPER S.L.

The images, designs, texts, logos, trademarks, typefaces and all other content supplied by the customer must either be owned by the customer or be covered by the necessary authorisations, licences and rights of use. The customer shall be responsible for complying with this obligation and shall be liable to ARSUS PAPER S.L. for any claims, damages, costs and reasonable expenses arising from the absence of such rights, licences or authorisations.

Templates

For models with more than one design, the customer must identify each design on the corresponding template and follow the instructions supplied by ARSUS PAPER S.L. Any errors resulting from failure to follow these instructions shall be the customer's responsibility.

Old templates must not be reused. For each new design, the customer must request the current version of the template from ARSUS PAPER S.L., as templates may include important changes. ARSUS PAPER S.L. shall not be liable for any errors, costs or delays resulting from the use of an obsolete template.

Technical Information

Product manufactured from polyvinyl chloride (PVC), plasticisers and additives, and subsequently printed. Some models are varnished with water-based polyurethane. The customer may request the available technical information from ARSUS PAPER S.L.

Water Contact: Unvarnished panels have performed well when occasionally exposed to water. Their resistance to prolonged immersion has not been tested. Before using them in any application involving exposure to water, the customer must carry out the necessary tests. Varnished panels have not been tested in contact with water.

Heat Resistance: Exposure to sources of intense heat, direct sunlight or high temperatures must be avoided, as the panels may deform, like any other plastic sheet. They must be unrolled upon receipt and kept flat.

Fire Resistance: The PVC supplier does not provide a fire-resistance or reaction-to-fire certificate for the sheets used. ARSUS PAPER S.L. does not certify any reaction-to-fire or fire-resistance classification for the finished product. The customer must verify the requirements applicable to the intended use and may request the available technical information from ARSUS PAPER S.L.

Hazardous Reactions: None are known under normal conditions of use.

Thermal Decomposition: Does not occur under normal conditions of use. Under improper or extreme processing conditions, thermal decomposition may occur, producing carbon monoxide, carbon dioxide, nitrogen oxides and flammable mixtures.

Handling the Panels: The panels must be handled carefully, as the edges may cause cuts. The use of gloves is recommended.

Price and Ownership of the Mould

The cost of a mould is calculated according to the number of panels stated in the pro forma invoice. If the customer subsequently reduces the number of panels in the order, ARSUS PAPER S.L. may recalculate the cost of the mould.

The moulds shall, in all cases, remain the exclusive property of ARSUS PAPER S.L. Full or partial payment of their cost by the customer does not transfer ownership, possession or rights of use. If it is agreed that a mould is to be reserved for the exclusive use of a customer, such exclusive use must be expressly stated in the pro forma invoice and shall not, under any circumstances, transfer ownership of the mould.

Terms of Sale and Delivery

ARSUS PAPER S.L. undertakes to manufacture the material in accordance with the specifications detailed in the pro forma invoice. The specific dates applicable to each order shall be those stated in that invoice.

Shipping Date: The date on which the order will leave the premises of ARSUS PAPER S.L.

Estimated Delivery Date: An indicative date supplied by the transport company. It is not a guaranteed date and may be affected by circumstances beyond the control of ARSUS PAPER S.L.

Guaranteed Delivery Date: Where the pro forma invoice expressly states a Guaranteed Delivery Date, ARSUS PAPER S.L. guarantees delivery no later than that date, provided that the customer has fulfilled all its obligations on time and has correctly supplied the final artwork, shipping details and any other necessary information.

When the order is formalised, if ARSUS PAPER S.L. is unable to confirm the proposed dates, it will offer the customer alternative dates. If these do not meet the customer's needs, the customer may cancel the order at no cost and, if any payment has been made, will receive an immediate full refund.

If delivery takes place after the Guaranteed Delivery Date, the customer may return the material unopened, unused and in its original, intact packaging and request a full refund of the amount paid. The customer must notify ARSUS PAPER S.L. within three business days of receipt and follow the return instructions. The refund will be made once ARSUS PAPER S.L. receives the material in good condition and shall constitute the sole compensation available for the delay.

Where the customer independently appoints a transport company to collect the material, the Guaranteed Delivery Date shall be deemed satisfied when the material is handed over, at the premises of ARSUS PAPER S.L., to the carrier appointed by the customer.

Final Artwork Submission Deadline: The customer must submit the final artwork no later than the date stated in the pro forma invoice and before 17:00 Spain time. Each day of delay may affect the remaining scheduled dates, depending on the production planning of ARSUS PAPER S.L., without any obligation to issue a new pro forma invoice, and shall invalidate the Guaranteed Delivery Date.

Late submission of the final artwork may result in cancellation of the order by ARSUS PAPER S.L., without any obligation to pay the customer additional damages or compensation.

Transport and Receipt: The customer must inspect the external condition of the package upon delivery. Visible damage must be recorded on the carrier's delivery receipt and reported immediately to ARSUS PAPER S.L. Any other transport-related damage must be reported within 24 hours of receipt, together with photographs of the package and the affected material.

Claims for Manufacturing Defects

Without prejudice to the time limits established for damage occurring during transport, any visible manufacturing defect or error in the quantities delivered must be reported in writing to ARSUS PAPER S.L. within five business days of receipt, together with photographs of the affected material. Defects that could not have been detected through a reasonable inspection must be reported in writing as soon as they are discovered. The characteristics, tolerances or minor variations inherent in the manufacturing process described in these Terms of Use and Sale shall not be considered defects.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where this results from extraordinary, unforeseeable or unavoidable circumstances beyond its reasonable control, including, without limitation, fires, floods, labour disputes, epidemics or pandemics, major interruptions to electricity or communications, unforeseen shortages of raw materials, administrative restrictions or serious transport disruption.

The affected party must notify the other party of the circumstances as soon as reasonably possible. This clause shall not limit any cancellation, return or refund rights expressly granted to the customer under these Terms of Use and Sale.

Stock

Orders for models identified as stock may be manufactured specifically for each customer, as the available quantities of some models are very limited.

Models available from stock may change or cease to be available, even within a period of less than 30 days. Before repeating an order, the customer must check the availability of the model.

Signing of Contracts or Agreements

Our activity consists exclusively in the manufacturing and sale of printed and modelled sheets. We do not provide any professional service beyond the supply of our products. For this reason, our contractual relationship with clients is governed solely by our Sales Terms and Conditions and, where applicable, our Non-Disclosure Agreement (NDA). We are unable to review, negotiate or sign contracts, agreements or additional terms prepared by clients. If our terms and conditions do not align with your needs or internal policies, we will fully understand and will prefer not to proceed with the collaboration, with no inconvenience to either party.

Formalisation of the Order and Acceptance of the Pro Forma Invoice

The order shall only be considered formalised and binding once ARSUS PAPER S.L. has received full payment of the pro forma invoice by bank transfer, card or another accepted means of payment, or once the customer has issued a purchase order and ARSUS PAPER S.L. has received the corresponding Binding Purchase Order Confirmation duly signed.

The mere issuance, sending or receipt of a purchase order does not formalise the order. Once either of these procedures has been completed, the parties agree that no further acceptance confirmation from ARSUS PAPER S.L. shall be necessary or issued.

Formalisation of the order constitutes the customer's acceptance of all information included in the pro forma invoice and confirms that the previously accepted Terms of Use and Sale, in the version stated in that invoice, apply to the order.

Order Amendments

Any amendment requested by the customer after the order has been formalised may result in an adjustment to the price, the scheduled dates or both. ARSUS PAPER S.L. will inform the customer of the consequences of the amendment before continuing the affected work. The amendment shall apply only once it has been accepted in writing by both parties.

Order Cancellation

As the products are manufactured or reserved specifically for each customer, including models identified as stock, once the order has been formalised it may not be cancelled, voided or withdrawn for reasons attributable to the customer, and amounts paid shall not be refunded.

The foregoing is without prejudice to the cancellation, return or refund rights expressly granted to the customer in the pro forma invoice or in these Terms of Use and Sale, particularly where ARSUS PAPER S.L. is in breach.

Limitation of Liability

The customer acknowledges that ARSUS PAPER S.L. acts solely as the manufacturer and supplier of the goods specified in the pro forma invoice and neither participates in the organisation nor controls the budget, schedule, personnel, locations, technical resources or continuity of the customer's filming, production, event or project. The customer shall be responsible for planning its activities and adopting reasonable contingency measures where an incident, delay or inability to supply could cause losses manifestly disproportionate to the order value. To the extent permitted by applicable law, ARSUS PAPER S.L. does not assume the overall economic risk of the customer's project or the financial consequences of its interruption.

To the extent permitted by applicable law, ARSUS PAPER S.L. shall not be liable for indirect loss, loss of income, loss of profits, delays or stoppages in filming or production, loss of business opportunities or any other indirect or consequential damage arising from the order or the use of the material.

The total contractual liability of ARSUS PAPER S.L. arising from the same order shall not exceed the total amount of that order stated in the pro forma invoice.

The foregoing exclusions and limitations shall not apply in cases of wilful misconduct or to any liabilities that cannot be excluded or limited under applicable mandatory law.

Confidentiality and Performance of Obligations

ARSUS PAPER S.L. and the customer undertake to keep confidential all commercial, technical and other information exchanged during the business relationship and to use it solely for the preparation and performance of the order. This obligation shall not apply to information that is public or whose disclosure is required by law.

Where a Confidentiality Agreement has been signed between the parties, that agreement shall supplement these terms and prevail in matters of confidentiality.

Delivery of the material in accordance with the agreed specifications and conditions shall constitute performance of the obligations assumed by ARSUS PAPER S.L., with no additional commitment unless expressly contracted and accepted in writing.

Severability

If any provision of these Terms of Use and Sale is declared null, invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Governing Law and Jurisdiction

These Terms of Use and Sale, the pro forma invoice and the contractual relationship arising from the order shall be governed by and construed in accordance with Spanish law.

For any dispute arising out of or in connection with the order, including its existence, validity, interpretation, performance, breach or termination, the parties expressly agree to the exclusive jurisdiction of the Courts of Barcelona, Spain, to the extent permitted by applicable law.

If this choice-of-forum agreement is invalid or ineffective, jurisdiction shall be determined in accordance with applicable law.
