GENERAL TERMS AND CONDITIONS OF CONTRACT AND SUPPLY

USE, CHARACTERISTICS AND TECHNICAL INFORMATION
Applications
The sheets manufactured by ARSUS PAPER S.L. are intended exclusively for use in professional environments. Their intended use is limited to temporary or ephemeral decoration, scenery and set dressing. They are not designed for permanent installations or for use in public places. They must not be used as flooring or as a walkable surface. Any use other than the intended use shall be carried out under the Customer's sole responsibility.
Unless expressly agreed otherwise in writing, ARSUS PAPER S.L. does not carry out installation, assembly or adaptation work on the product.
Characteristics to take into account
Due to the partly manual and handcrafted nature of the manufacturing process, the product may contain minor imperfections, which may be more noticeable in new, uniform or clean-looking designs: slightly displaced images, small bubbles or wrinkles, scuffs resulting from handling or transport, fine printing lines or other similar variations. These characteristics form part of the normal manufacturing process and shall not be considered defects where they do not significantly affect the final appearance of the product.
In the event of very visible damage, ARSUS PAPER S.L. will replace the affected part by supplying a replacement section, provided this is technically possible.
Some cuts may require adjustment, filler or paint at the joints during installation.
There may be slight variations in shade or gloss between sheets. Identical reproduction of the same shade in different print runs is not guaranteed.
ARSUS PAPER S.L. applies the varnish manually, so areas with differences in gloss may appear and the Customer will need to touch these up during installation.
Technical information
Product manufactured from polyvinyl chloride (PVC), plasticisers and additives, and subsequently printed. Some models are coated with water-based polyurethane varnish. The Customer may request the available technical information from ARSUS PAPER S.L.
Contact with Water: Unvarnished sheets have shown good performance when occasionally exposed to water. Their resistance to prolonged immersion has not been tested. Before using them in any application involving exposure to water, the Customer must carry out the necessary tests. Varnished sheets have not been tested in contact with water.
Heat Resistance: Exposure to sources of intense heat, direct sunlight or high temperatures must be avoided, as the sheets may deform, like any other plastic sheet. They must be unrolled upon receipt and kept flat.
Fire Resistance: The PVC supplier does not provide a fire resistance or reaction-to-fire certificate for the sheets used. ARSUS PAPER S.L. does not certify any reaction-to-fire or fire-resistance classification for the finished product. The Customer must verify the requirements applicable to the intended use and may request the available technical information from ARSUS PAPER S.L.
Hazardous Reactions: None are known under normal conditions of use.
Thermal Decomposition: This does not occur under normal conditions of use. Under improper or extreme processing conditions, thermal decomposition may occur, generating carbon monoxide, carbon dioxide, nitrogen oxides and flammable mixtures.
Handling the Sheets: The sheets must be handled with care, as their edges may cause cuts. The use of gloves is recommended.
TERMS OF SALE AND DELIVERY
Order placement and acceptance of the proforma invoice
The order shall only be considered placed and binding once ARSUS PAPER S.L. has received full payment of the proforma invoice by bank transfer, card or another accepted payment method, or once the Customer has issued a purchase order and ARSUS PAPER S.L. has received the corresponding Binding Purchase Order Confirmation duly signed.
The mere issue, sending or receipt of a purchase order does not place the order. Once either of these procedures has been completed, the parties agree that no additional acceptance confirmation from ARSUS PAPER S.L. will be necessary or issued.
Placement of the order implies the Customer's acceptance of all the information included in the proforma invoice and confirms that these previously accepted Terms, in the version indicated on that proforma invoice, apply to the order.
Order modifications
Any modification requested by the Customer after the order has been placed may result in an adjustment to the price, the scheduled dates, or both. ARSUS PAPER S.L. will inform the Customer of the consequences of the modification before continuing the affected work. The modification shall apply only when it has been accepted in writing by both parties.
Order cancellation
Because the products are manufactured or reserved specifically for each Customer - including models identified as stock - once the order has been placed it may not be cancelled, voided or withdrawn for reasons attributable to the Customer, and no refund of amounts paid shall be due.
The foregoing is without prejudice to any cases of cancellation, return or refund expressly granted to the Customer under these Terms, particularly where there is a breach attributable to ARSUS PAPER S.L.
Dates
ARSUS PAPER S.L. undertakes to manufacture the material in accordance with the specifications detailed in the proforma invoice. The specific dates applicable to each order shall be those stated in that proforma invoice.
Dispatch Date: The date on which the order will leave the premises of ARSUS PAPER S.L.
Estimated Delivery Date: An indicative date provided by the transport company. It is not a guaranteed date and may be affected by circumstances beyond the control of ARSUS PAPER S.L.
Guaranteed Delivery Date: Where the proforma invoice expressly states a Guaranteed Delivery Date, ARSUS PAPER S.L. guarantees delivery no later than that date, provided that the Customer has fulfilled all its obligations on time and has correctly supplied the final artwork, shipping details and any other necessary information.
When the order is placed, if ARSUS PAPER S.L. is unable to confirm the proposed dates, it will offer the Customer alternative dates. If these do not meet the Customer's needs, the Customer may cancel the order at no cost and, if any payment has been made, will receive a full and immediate refund.
If delivery takes place after the Guaranteed Delivery Date, the Customer may return the material unopened, unused and in its original intact packaging and request a full refund of the amount paid. The Customer must notify ARSUS PAPER S.L. within three business days of receipt and follow the return instructions. The refund will be made once ARSUS PAPER S.L. receives the material in good condition and shall constitute the sole compensation applicable for the delay.
Where the Customer independently arranges for a transport company to collect the material, the Guaranteed Delivery Date shall be deemed met when the material is handed over, at the premises of ARSUS PAPER S.L., to the carrier appointed by the Customer.
Final Artwork Submission Deadline: The Customer must submit the final artwork no later than the date stated in the proforma invoice and before 17:00 Spanish time. Each day of delay may affect the remaining scheduled dates, depending on the production planning of ARSUS PAPER S.L., without any obligation to issue a new proforma invoice, and will render the Guaranteed Delivery Date void.
Delay in submitting the final artwork may result in cancellation of the order by ARSUS PAPER S.L., with no obligation to pay the Customer any additional damages or compensation.
Transport and receipt
The Customer must inspect the external condition of the package at the time of delivery. Visible damage must be noted on the carrier's delivery receipt and reported immediately to ARSUS PAPER S.L. Any other damage related to transport must be reported within 24 hours of receipt, together with photographs of the package and the affected material.
Claims for manufacturing defects
Without prejudice to the time limits established for damage occurring during transport, any visible manufacturing defect or error in the quantities delivered must be reported in writing to ARSUS PAPER S.L. within five business days of receipt, together with photographs of the affected material. Defects that could not have been detected through a reasonable inspection must be reported in writing as soon as they are discovered.
The characteristics, tolerances or slight variations inherent in the manufacturing process described in these Terms shall not be considered defects.
Force majeure
Neither party shall be liable for failure or delay in performing its obligations where this results from extraordinary, unforeseeable or unavoidable circumstances beyond its reasonable control, including, without limitation, fires, floods, labour disputes, epidemics or pandemics, serious interruptions to electricity supply or communications, unforeseeable shortages of raw materials, administrative restrictions or serious transport incidents.
The affected party must notify the other party of such circumstances as soon as reasonably possible. This clause shall not limit any cancellation, return or refund rights expressly granted to the Customer under these Terms.
Moulds
The cost of a mould is calculated according to the number of sheets stated in the proforma invoice. If the Customer subsequently reduces the number of sheets in the order, ARSUS PAPER S.L. may recalculate the cost of the mould. Use and ownership rights are governed by the section "Intellectual property, templates, moulds and designs".
Stock
Orders for models identified as stock are normally manufactured specifically for each Customer, as available inventory is very limited for some models. For this reason, all orders for stock models are binding. Once placed, they cannot be cancelled at the Customer's discretion and no refund of the amount paid may be requested, whether already manufactured sheets are used or a new production run is required.
Models available in stock may change or cease to be available, even within a period of less than 30 days. Before repeating an order, the Customer must check the availability of the model.
Templates
For models with more than one design, the Customer must identify each design in its corresponding template and follow the instructions provided by ARSUS PAPER S.L. Errors arising from failure to follow these instructions shall be the Customer's responsibility.
Old templates must not be reused. For each new design, the Customer must request the current version of the template from ARSUS PAPER S.L., as templates may contain important modifications. ARSUS PAPER S.L. shall not be liable for errors, costs or delays resulting from the use of an obsolete template.
Use and ownership rights are governed by the section "Intellectual property, templates, moulds and designs".
Final artwork and colour reproduction
The Customer is responsible for reviewing and approving the final artwork before sending it to production, including text, spelling, images, proportions, layout, orientation and all other design elements. ARSUS PAPER S.L. will check only the technical aspects required to manufacture the order and is not obliged to review or correct the creative content of the file. Errors already present in the file submitted by the Customer shall not be considered manufacturing defects.
Colours displayed on screens, monitors or other digital devices are indicative only and may differ from the printed result. Unless ARSUS PAPER S.L. has expressly accepted a physical colour proof or a specific reference as a binding standard, an exact match between the colour displayed digitally and the manufactured product is not guaranteed.
INTELLECTUAL PROPERTY, TEMPLATES, MOULDS AND DESIGNS
Rights and materials of ARSUS PAPER S.L.
Ownership of templates
ARSUS PAPER S.L. provides the Customer with certain Photoshop templates and other technical files so that the Customer can correctly prepare the designs intended for products to be ordered from ARSUS PAPER S.L.
The templates are and shall remain the exclusive property of ARSUS PAPER S.L.
Providing a template to the Customer does not transfer ownership of it or any rights in it. The structure of the templates, their dimensions, proportions, configuration, layer system, instructions, technical specifications and all other elements developed by ARSUS PAPER S.L. shall remain the property of ARSUS PAPER S.L., regardless of any designs, images, text or other content subsequently incorporated into them by the Customer.
The Customer receives only a limited, non-exclusive and non-transferable authorisation to use the templates for the purpose of preparing files corresponding to orders that are to be manufactured by ARSUS PAPER S.L.
Once the project or order for which the template was provided has been completed, the Client must delete it from their systems and from any copies they retain. The template may not be reused for subsequent orders. For each new order or design, the current version must be requested from ARSUS PAPER S.L.
The Customer may not:
share, deliver, publish, sell, sublicense or distribute the templates;
provide them to another manufacturer or supplier;
use them to produce materials with third parties;
use them for purposes other than preparing orders intended for ARSUS PAPER S.L.;
copy, extract or make use of their structure or technical specifications to create an equivalent template; or
allow third parties to access them, except members of its own team who need to take part in preparing the order and who are subject to the same restrictions.
The Customer's incorporation of its own designs or content into a template does not alter ownership of the template, which shall remain the property of ARSUS PAPER S.L.
Ownership of moulds, dies and models
All moulds, dies, models and other physical or technical manufacturing elements produced by ARSUS PAPER S.L. in connection with an order shall be the property of ARSUS PAPER S.L., even where they have been produced following instructions, plans, drawings, photographs, designs or references supplied by the Customer.
The payment made by the Customer relates to the development, modelling and manufacturing work required to produce the mould, die or model and does not entail acquisition of its ownership or imply any exclusivity over it.
Unless the exclusivity option has been expressly purchased, ARSUS PAPER S.L. may retain, reuse and adapt the moulds, dies or models produced, and may subsequently manufacture and market products obtained from them.
Where a drawing, design, image or reference supplied by the Customer has been used to make the mould, the Customer authorises ARSUS PAPER S.L., on a non-exclusive basis, to incorporate it into the mould, die or model and to carry out the acts necessary for its preservation, reuse, adaptation and subsequent manufacture.
This authorisation is granted worldwide and for the entire legal term of protection of the corresponding exploitation rights, exclusively in respect of rights owned by the Customer or which the Customer is authorised to license. The consideration for this authorisation shall be deemed included in the price agreed for the order.
The production of a mould, die or model to order does not imply exclusivity in favour of the Customer.
If the Customer wishes a mould, die or model produced for its order to be for exclusive use, it must notify ARSUS PAPER S.L. before it is manufactured.
Exclusivity must be expressly accepted by ARSUS PAPER S.L. and will be subject to a specific additional charge, which will be communicated to the Customer before it is purchased.
Only where exclusivity has been expressly requested by the Customer, accepted by ARSUS PAPER S.L. and the corresponding additional charge has been paid will ARSUS PAPER S.L. undertake not to use that mould, die or model for other customers and to destroy it once the work for which it was commissioned has been completed.
Rights relating to models and images in the ARSUS PAPER S.L. catalogue
The vast majority of the moulds, models, designs and images included in the ARSUS PAPER S.L. catalogue have been created and developed directly by ARSUS PAPER S.L., including both manually produced moulds and images created for the reproductions.
However, the catalogue may also include certain models based on existing designs, elements or references, or on historical motifs, whose status in relation to rights of use may vary in each case. For this reason, ARSUS PAPER S.L. does not make any general representation guaranteeing the same legal status for all models included in its catalogue.
When the Customer selects one or more models from the catalogue - and requests this information - ARSUS PAPER S.L. will inform the Customer, before the order is placed, of the specific status known to it regarding the rights and possible uses of those models. This allows the Customer to assess each model and decide whether to use it after first receiving the relevant information.
Designs, images and files supplied by the Customer
Ownership of the Customer's designs
The designs, illustrations, photographs, images, graphic compositions, text, logos and other content supplied by the Customer to ARSUS PAPER S.L. or incorporated into the templates for manufacture of the order shall remain the exclusive property of the Customer or their respective rights holders.
The fact that such content has been prepared using a template owned by ARSUS PAPER S.L. does not grant ARSUS PAPER S.L. any ownership rights in the design created by the Customer.
Likewise, incorporating the Customer's design into a template owned by ARSUS PAPER S.L. does not grant the Customer any ownership rights in that template.
Accordingly, the two ownership interests remain clearly separate: the template belongs to ARSUS PAPER S.L., while the design incorporated by the Customer belongs to the Customer or its corresponding rights holder.
Use strictly limited to manufacture of the order
ARSUS PAPER S.L. receives the Customer's files and designs solely for the purpose of preparing, printing, manufacturing and delivering the order for which they were supplied. The Customer grants ARSUS PAPER S.L. only the authorisation strictly necessary to carry out that work.
ARSUS PAPER S.L. acquires no rights to reuse or commercially exploit these designs. Outside the manufacture of the relevant order, ARSUS PAPER S.L.:
will not reproduce the Customer's designs;
will not use them to manufacture products for other customers;
will not market them;
will not assign them or provide them to third parties;
will not incorporate them into its catalogue;
will not use them as commercial samples;
will not publish them;
will not use them in advertising, social media, websites or promotional material; and
will not use them for any purpose other than carrying out the order for which they were supplied.
Any other use will require the Customer's express authorisation.
Confidentiality and deletion of files
The designs and files supplied by the Customer will be handled in accordance with the section "Confidentiality, files and information security". Access will be limited to those persons who need to take part in preparing or manufacturing the order.
Once the work for which the files were supplied has been completed, and when the files are no longer required for its proper execution, ARSUS PAPER S.L. will delete the production files under its control.
Responsibility for rights in material supplied by the Customer
The Customer represents that it has the necessary rights and authorisations in relation to the designs, images, photographs, logos, text and other content it supplies to ARSUS PAPER S.L. for manufacture of its order.
ARSUS PAPER S.L. will use such materials exclusively to carry out the requested order and in accordance with the Customer's instructions.
Difference between a design for printing and a design intended to create a mould
The guarantees set out in the preceding sections regarding non-reuse apply to the graphic designs, images and files supplied by the Customer to print or manufacture exclusively its own order.
Where the Customer expressly supplies a drawing, plan, design, photograph, image or reference so that ARSUS PAPER S.L. can develop a mould, die or model from it, the provisions of the section "Ownership of moulds, dies and models" shall apply, including the possibility of reuse unless the exclusivity option has been expressly purchased.
CONFIDENTIALITY, FILES AND INFORMATION SECURITY
Confidentiality and non-disclosure
ARSUS PAPER S.L. undertakes to keep confidential all commercial, technical and other information received during the business relationship and to use it solely for preparation and performance of the order.
ARSUS PAPER S.L. will not voluntarily publish, communicate or disclose to third parties unrelated to the order the identity of its customers, the names of films, series, campaigns or projects, its involvement as a supplier, the files or designs received, or the technical or commercial information required to carry out the work. This obligation likewise extends to photographs, images or any other material the Customer sends to show the result of work performed.
This confidentiality and non-disclosure commitment will continue after the quotation, order or production has ended. Reviews or testimonials submitted voluntarily may be published only where their author has authorised their use or has clearly submitted them for that purpose, and in all cases any reference to the specific production in which ARSUS PAPER S.L. products were used will be omitted.
Minimum information principle
ARSUS PAPER S.L. only needs to receive the information strictly necessary to prepare the quotation, process the order, manufacture, invoice, collect payment for and deliver the material. The Customer undertakes not to provide additional information about the production. In particular, ARSUS PAPER S.L. does not need to know:
the title or name of the film, series, programme, campaign or project;
the number or title of episodes, scenes or sequences;
the plot, script, dialogue, characters or creative content;
the names of actors, crew members or other persons connected with the production;
shooting dates or locations, the release date or release plans;
the platform, broadcaster, studio, distributor, end customer or project recipient, unless it is the entity contracting or paying for the order;
production budgets, salaries, commercial, financial, creative or strategic plans; or any other information unrelated to the specific technical work commissioned from ARSUS PAPER S.L.
The Customer will identify the order using an internal reference, purchase order number or neutral code and will avoid including the production name in file names, folder names, links, email subject lines or communications.
Where the Customer's own company or registered legal name coincides with the name of a production, ARSUS PAPER S.L. will necessarily know that name for administrative and invoicing purposes, even if it has not requested it as project information.
Required data and administrative procedure
The Customer will complete an order request with the necessary tax, administrative, contact, billing and delivery or shipping details. The request does not contain a field for the name of the film, series or project.
The request is sent directly to the person responsible for preparing the quotation. That person calculates the amount and provides the Customer with a link to a Google Drive file from which the proforma invoice can be downloaded. Subsequently, where applicable, ARSUS PAPER S.L. issues the final invoice.
These data are used exclusively to prepare and manage the quotation, order, payment collection, invoicing and delivery, and to comply with the legal and accounting obligations of ARSUS PAPER S.L.
Receipt, review, storage, printing and deletion of files
Once the design has been prepared, the Customer sends the file electronically (via WeTransfer, a download link, email or another equivalent electronic system) to ARSUS PAPER S.L. at info@la-wall.com, where the received file is opened and temporarily added to a Google Drive folder.
Once this has been done, a link is provided to the ARSUS PAPER S.L. workshop so that the file can be opened and printed at its premises. Once printing has been completed, ARSUS PAPER S.L. deletes the production file from the folders and working systems under its control and does not intentionally retain active copies of the file submitted by the Customer.
Deletion of the production files does not affect invoices, proforma invoices, supporting documents, administrative emails or tax and accounting documents that ARSUS PAPER S.L. is legally required to retain.
This is the standard procedure of ARSUS PAPER S.L. and it is not changed for each production.
Collaborators and access to information
The design files will be known only to a very small number of professional collaborators of ARSUS PAPER S.L. who are directly involved in their receipt, review and printing. They are normally accessed by two collaborators: one receives and reviews the file and the other, at the workshop, opens it solely to print it and manufacture the sheet.
Only where necessary due to production requirements may a third collaborator access the files. Accordingly, as a general rule, access to the files is limited to two or, at most, three collaborators, and they are not shared with large teams or other persons. The technology services used in the process - such as email, WeTransfer or equivalent systems, Google Drive and the digital or artificial-intelligence tools described in these Terms - may technically transmit, host or process the information in accordance with the way those services operate.
The transport or courier company receives only the delivery details and the tax or administrative information essential for making the shipment. It does not receive the design files and does not need to know the production or project.
Use of digital tools, cloud storage and artificial intelligence
ARSUS PAPER S.L. routinely uses third-party technological tools such as email, Google Drive, file-transfer services, design and review software, translation tools, automation systems and agents or applications based on artificial intelligence, including ChatGPT or equivalent systems.
These tools may be involved in administrative tasks, preparation of quotations and communications, drafting, translation, organisation of instructions, document review and other ancillary functions related to the activity of ARSUS PAPER S.L.
The Customer acknowledges and accepts this working system. If the Customer needs to prohibit any of these means, require a closed platform, a dedicated server, a specific encryption system, a deletion certificate or another special measure, it must communicate this before sending information or placing the order.
ARSUS PAPER S.L. may reject the order where the Customer's requirements are incompatible with its standard procedures. A Customer that does not accept these procedures must refrain from sending information or files and from placing the order.
Unsolicited information and exclusions
The Customer is responsible for reviewing the information before sending it and for removing or anonymising any data that are not necessary for the order. The unsolicited provision of information that has not been requested will not impose on ARSUS PAPER S.L. any special procedures, specific platforms or security measures other than those described in these Terms.
ARSUS PAPER S.L. is not required to review, investigate or search for unnecessary, sensitive or production-identifying information in the Customer's emails, files or communications. Its review is limited to the administrative and technical aspects necessary to perform the order. If, during its ordinary work, ARSUS PAPER S.L. incidentally detects information that is clearly unnecessary or particularly sensitive, it may request its removal, delete it without using it, return it, suspend processing or reject the order. Failure to detect such information shall not mean that ARSUS PAPER S.L. requested it or accepted any special procedures or additional security or confidentiality obligations.
Information shall not be considered a breach of confidentiality where ARSUS PAPER S.L. can demonstrate that it:
was public when received or subsequently became lawfully public without the involvement of ARSUS PAPER S.L.;
was already lawfully known to ARSUS PAPER S.L.;
was lawfully received from a third party without an obligation of confidentiality;
was independently developed without using Customer information; or
must be disclosed by law or by order of a competent authority or court.
Where permitted by law, ARSUS PAPER S.L. will inform the Customer before any mandatory disclosure and will limit the disclosure to what is strictly required.
IT security and residual risk
ARSUS PAPER S.L. will apply reasonable technical and organisational measures proportionate to the limited nature of the information it needs to process and to its status as a small business.
However, no computer, email service, transfer service, storage system, technology provider or artificial-intelligence tool can guarantee absolute security against errors, technical failures, accidental losses, unauthorised access, cyberattacks or events beyond the reasonable control of ARSUS PAPER S.L. To reduce this risk, the Customer undertakes not to provide unnecessary information or particularly sensitive data about the production.
Awareness of this residual risk does not mean that ARSUS PAPER S.L. waives the application of reasonable measures, nor does it exclude liabilities that cannot legally be excluded. If the Customer considers this risk unacceptable or requires a different level of security, it must refrain from sending information or placing the order.
Confidentiality commitment and financial scope
ARSUS PAPER S.L. takes the confidentiality commitments set out in these Terms seriously and will apply the measures described to protect the information: it will limit access to the persons who need it, delete production files when the work is completed and apply security measures proportionate to its activity.
Any potential financial liability arising from a confidentiality incident shall be subject to the exclusions and limitations set out in the section "Limitation of liability", to the fullest extent permitted by applicable law.
If the Customer requires its supplier to assume financial guarantees, penalties or liabilities other than those provided for in these Terms, it must communicate this before placing the order. ARSUS PAPER S.L. does not accept such additional terms.
LIABILITY AND CONTRACTUAL TERMS
Limitation of liability
The Customer acknowledges that ARSUS PAPER S.L. acts exclusively as the manufacturer and supplier of the goods stated in the proforma invoice and does not participate in the organisation of, or control, the budget, schedule, personnel, locations, technical resources or continuity of the Customer's shoot, production, event or project. The Customer is responsible for planning its activity and adopting reasonable contingency measures where an incident, delay or inability to supply could cause losses that are manifestly disproportionate to the value of the order. ARSUS PAPER S.L. does not assume the overall economic risk of the Customer's project or the economic consequences of its interruption, to the extent permitted by applicable law.
ARSUS PAPER S.L. shall not be liable for indirect losses, loss of profits, delays to or stoppages of shoots or productions, loss of business opportunities, or other indirect or consequential damages arising from the order or the use of the material.
The total contractual liability of ARSUS PAPER S.L. arising from the same order shall not exceed the total amount of that order stated in the proforma invoice.
The foregoing exclusions and limitations shall apply to the fullest extent permitted by applicable law.
Signing contracts or agreements
Our activity consists exclusively of manufacturing and selling embossed printed sheets. We do not provide professional services of any nature other than the supply of our products.
For this reason, our contractual relationship with customers is governed solely by these Terms. ARSUS PAPER S.L. does not review, negotiate or sign contracts, agreements or additional terms prepared by customers. If these Terms do not meet your needs or internal policies, we fully understand and would prefer not to proceed with the collaboration, without this causing any inconvenience to either party.
No obligation to contract
A request for a quotation, the exchange of information, the provision of a template or acceptance of these Terms does not oblige ARSUS PAPER S.L. to accept the order. ARSUS PAPER S.L. may reject the work where it considers that the technical, contractual, confidentiality, liability or security requirements are not compatible with its resources, capacity or standard procedures.
Amendments and severability
If any clause is declared invalid or unenforceable, the remainder of these Terms shall remain in force. The parties shall replace the affected clause with a valid clause that comes as close as possible to its purpose. Failure to exercise a right immediately shall not constitute a waiver of the right to exercise it later.
Acceptance
These Terms shall enter into force when the Customer accepts them by ticking the box provided for that purpose on the form. In particular, the Customer accepts:
not to send unnecessary information about the production;
the request, quotation, proforma invoice and invoicing procedure;
the procedure for receipt, review, temporary storage, printing and deletion of files;
the limited access of ARSUS PAPER S.L. collaborators and of the technology services necessary to perform the order;
the routine use of email, Google Drive, transfer services, automation and artificial intelligence;
ARSUS PAPER S.L.'s ownership of its templates and the prohibition on reusing or sharing them;
the continuing confidentiality obligation assumed by ARSUS PAPER S.L.;
the financial scope of the commitment of ARSUS PAPER S.L., as set out in the section "Confidentiality commitment and financial scope"; and
the application of Spanish law and the jurisdiction of the courts of Barcelona.
Applicable law and competent courts
These Terms and the contractual relationship arising from the order shall be governed by and construed in accordance with Spanish law. For any dispute relating to their interpretation, validity, performance or breach, the parties expressly submit to the courts of Barcelona, Spain, waiving any other jurisdiction to which they may otherwise be entitled, unless a mandatory rule establishes a different jurisdiction.
